This Beta Participation & Data Agreement (the "Agreement") is between Truence, Inc., a Delaware corporation ("Truence," "we," "us"), and the participant identified at signature ("you," "Participant"). It governs your participation in the Truence private beta (the "Beta Program") and your connection of business data to the Truence platform. By signing or checking acceptance, you agree to these terms.
Effective date: the date you accept below.
Truence is conducting a private, invitation-based beta to test and validate its financial verification platform on real business data. As a Participant, you will connect approved data sources, review a private report Truence generates from your data, and provide feedback. Participation is voluntary.
With your authorization, the Beta Program may access:
You choose which sources to connect, and you may disconnect any source at any time.
We use your connected data for one set of purposes only: to generate your private report, to test and validate the Truence platform, and to improve our product. We do not use your data for any other purpose.
We protect your data in transit and at rest using industry-standard safeguards, and we limit internal access to personnel who need it to operate the Beta Program.
We retain your connected data only as long as needed for the purposes above. You may request disconnection or deletion of your data at any time, and we will delete it within 30 days of your request, except where retention is required by law. At the end of the Beta Program, we will delete or de-identify your connected data unless you have agreed to continue as a customer.
We do not sell, rent, or trade your data. We share it only with service providers strictly necessary to operate the platform (for example, Plaid for bank connectivity and our cloud hosting provider), each bound by confidentiality and data-protection obligations.
Each party will keep the other's confidential information private. Your financial and business data is confidential to us. In turn, the Beta Program may expose you to unreleased Truence features, designs, and information, all of which are confidential to you and may not be disclosed or shared. These obligations survive the end of this Agreement.
The Beta Program and your report are provided "as is" for testing and validation purposes. Because the platform is in active development, outputs may be incomplete or contain inaccuracies — identifying those is part of the purpose of the Beta.
Your report is not financial, accounting, tax, investment, or legal advice, and you should not rely on it as the sole basis for any business decision. Truence makes no warranties, express or implied, regarding the accuracy or fitness of the Beta Program or any output.
You will receive $750 total for completing the Beta Program, paid on these milestones: $100 on completing the qualification call, $400 on connecting your approved data sources, and $250 on completing the report-review and feedback call. Compensation is for your time and participation and is not contingent on providing positive feedback. You are responsible for any taxes on amounts received, and Truence may issue a Form 1099 where required.
Any feedback, ideas, or suggestions you provide may be used by Truence without restriction or obligation to you. Truence retains all rights, title, and interest in the platform and its outputs. You receive no ownership or license beyond access for the Beta Program.
We will not publish your name, your business's identity, your data, or any identifiable results, screenshots, or case studies without your prior written permission. We may use aggregated or de-identified insights that do not identify you or your business.
This Agreement begins on the effective date and continues through the Beta Program. You may withdraw at any time by notifying us and disconnecting your data sources; you will be paid for milestones completed up to that point. Either party may terminate participation at any time. Sections 5, 6, 7, 8, 10, 11, and 15 survive termination.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and Truence's total liability under this Agreement will not exceed the compensation paid to you.
You represent that you are the owner, officer, or an authorized operator of the business whose data you connect, and that you have the authority to connect that data and to enter into this Agreement.
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
By signing below or checking acceptance in the application or onboarding flow, you confirm that you have read, understood, and agree to this Agreement.
